Will that'98 5spd ecu and immobilizer with key fit in my 2001 prelude without having gas issues.....I heard something about 97-98 ECU's in 99-01's having stalling issues after filling up with gas.....is that so...if not i will take it

Yes, if you put a 99+ ECU in a 97/98 Prelude, you'll get an DTC/MIL.
I'm not sure that if you put a 98 ECU in a 99+, if you'll actually have a problem.
The issue is that the 99+ has, if I remember correctly, a fuel evaporation circuit that the 99+ ECU is looking for. Since it doesn't exist in the 97/98 models, those ECU's don't care.
You'd need to check on this, but I'm fairly certain that people have been successful using older ECU's, but not 99+ in a 97/98.
